1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you (or the organisation you represent) and Edelweiss Cyber Intelligence ("we", "us", or "our") governing your access to and use of the Nexus intelligence platform and this website (collectively, the "Services").

By creating an account or using the Services you confirm that you have read, understood, and agreed to these Terms. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, you must not use the Services.

2. Eligibility

You must be at least 18 years of age and legally capable of entering a binding contract to use the Services. The Services are intended for lawful professional or commercial use only. Use by individuals or entities subject to sanctions administered by applicable authorities is prohibited.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at contact@edelweisscyber.com if you suspect unauthorised access. We reserve the right to suspend or terminate accounts that appear to be compromised.

You must provide accurate and complete information when registering and keep it up to date. You may not share your account or credentials with any third party.

4. Permitted Use

The Services may be used solely for lawful intelligence, investigation, security research, due diligence, and related professional purposes. You agree to:

• Comply with all applicable local, national, and international laws and regulations
• Use the Services only in connection with legitimate and authorised investigations
• Ensure that any individuals whose data you query have had their information made publicly available or that you have another lawful basis for processing that information
• Handle all results obtained through the Services in compliance with applicable data protection law

5. Prohibited Uses

You must not use the Services to:

• Harass, stalk, threaten, or surveil any individual
• Engage in unlawful discrimination on the basis of any protected characteristic
• Violate any person's privacy rights or data protection rights
• Conduct investigations that lack a lawful purpose or lawful basis
• Scrape, copy, or redistribute data obtained from the Services beyond your internal use
• Reverse engineer, decompile, or attempt to derive source code from the platform
• Introduce malware, conduct denial-of-service attacks, or attempt to gain unauthorised access to our systems or third-party systems
• Resell or sublicense access to the Services without our prior written consent
• Use the Services in connection with any illegal activity

We reserve the right to determine, at our sole discretion, whether a use is prohibited and to act accordingly.

6. Subscriptions & Payment

Access to the Nexus platform requires a paid subscription. Prices are as displayed on our pricing page at the time of purchase. All fees are exclusive of taxes unless stated otherwise.

Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. Payments are processed by our third-party payment provider. By providing payment details you authorise recurring charges.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. To cancel, contact us at contact@edelweisscyber.com or use the account management portal.

All fees are non-refundable except where required by applicable law or at our sole discretion.

7. Intellectual Property

The Services, including all software, design, trademarks, and content produced by us, are owned by Edelweiss Cyber Intelligence and are protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes during the term of your subscription.

You retain ownership of all content you submit to the platform. By submitting content you grant us a limited licence to store and process it solely to provide the Services to you.

8. Third-Party Data Sources

Nexus integrates with third-party intelligence and data providers. The accuracy, completeness, and availability of data returned by those providers is outside our control. Results from third-party sources are provided "as is" and are subject to the terms and policies of the respective providers. We are not liable for errors or omissions in third-party data.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EDELWEISS CYBER INTELLIGENCE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Edelweiss Cyber Intelligence and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your breach of these Terms, or your violation of any applicable law or third-party right.

12. Suspension & Termination

We may suspend or terminate your access to the Services immediately, without notice, if we determine that you have breached these Terms, if required by law, or if we reasonably believe your use poses a risk to us, other users, or third parties.

You may terminate your account at any time by contacting us. On termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

13. Changes to the Services & Terms

We may modify the Services or these Terms at any time. Material changes to these Terms will be communicated by email or in-platform notice at least 14 days before taking effect. Continued use of the Services after the effective date of any change constitutes your acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts.

15. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign your rights or obligations under these Terms without our prior written consent.
